Vested operates the Platform, an online proprietary, automated recruiting solution, and provides services to employers seeking to fill open positions, working with the most qualified of active job-seekers and passive candidates. These Terms apply to any user of our Platform and/or Services, including any person working on behalf of employers, companies, or other parties seeking to fill open positions (Clients), candidates registering with Vested or otherwise providing information (the Candidate(s)), and people visiting our website(s) (collectively, our users). Your use of the Platform, including information you provide through the Platform is subject to our [Privacy Notice] which is incorporated herein by this reference.

Vested reserves the right to withdraw or amend the Platform, and any services it provides, in its sole discretion and without notice. Vested will not be liable if, for any reason, all or any part of the Platform is unavailable at any time or for any period. From time to time, Vested may restrict access to some parts or all of the Platform to one or more users. Vested further reserves the right at any time to change or otherwise modify the Terms without prior notice, and your continued access or use of the Platform signifies your acceptance of the updated or modified terms.

Registration; Information Provided through Platform

To access the Platform or some of the resources it offers, you may be asked to provide certain information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You may not select or use a login of another person with the intent to impersonate that person or use a login and password in which another person has rights without prior written authorization of Vested.
You agree that all information you provide to or through the Platform or otherwise is governed by these Terms and the [Privacy Notice], and you consent to all actions Vested takes with respect to your information consistent with these policies.

By using, accessing, and/or registering with the Platform, or otherwise accessing or providing information on or through the Platform, you grant Vested and its affiliates and service providers, including our Clients, and each of our and their respective licensees, successors, and assigns, the perpetual, irrevocable right and license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third-parties any such information to carry out the purpose(s) for which such information was provided.

Services Provided

Vested Technology LLC provides recruitment and staffing services to businesses and candidates. This includes, but is not limited to:

Sourcing and recruiting candidates for job positions.
Providing job placement and matching services.
Assisting with job openings and staffing solutions.

Client Responsibilities

By engaging with our services, you, as the Client (employer), agree to:

Provide accurate, clear, and complete information regarding job openings and the specific needs of the positions.
Ensure that the job requirements, job descriptions, and candidate expectations are compliant with applicable federal, state, and local employment laws.
Notify Vested Technology LLC promptly of any changes to job positions, candidate status, or other relevant information.
Acknowledge that Vested Technology LLC is not responsible for the final decision on hiring or placement.

Candidate Responsibilities

By engaging with our services, you, as the Candidate, agree to:

Provide accurate, truthful, and complete information regarding your qualifications, employment history, and career goals.
Maintain the confidentiality of all information shared with Vested Technology LLC unless otherwise instructed by the Company or required by law.

Fees and Payment

For Clients: Vested Technology LLC charges a fee for recruitment services, which may be based on a monthly retainership fee, a percentage of the candidate’s first-year salary, a flat fee, or another agreed-upon arrangement.

For Candidates: Vested Technology LLC does not charge candidates any fees for the services provided. Any costs associated with hiring or placement are borne by the Client.

Confidentiality

Vested Technology LLC respects the confidentiality of all parties involved. We will not share personal or confidential information about Candidates or Clients with third parties unless authorized by the respective party or required by law.

Prohibited Uses and User Code of Conduct

You may only use the Platform for lawful purposes and in accordance with these Terms. Unauthorized use of the Platform is strictly prohibited and includes:

Any way that violates any applicable laws and regulations.
Exploiting or attempting to exploit minors.
Sending or procuring the sending of advertising or promotional material without consent.

Indemnification

You agree to defend, indemnify, and hold harmless Vested from any claims and costs arising from your breach of these Terms, or violation of applicable laws, or infringement of any third-party rights.

Disclaimer of Warranties

The Platform and the Services are provided on an “AS IS” basis, without warranties of any kind. Your use of the Platform is at your own risk.

Limitation of Liability

Vested shall not be liable for any punitive, indirect, incidental, or consequential damages.

SMS Terms & Conditions

If you have consented to receive text messages from Vested Technology, you may receive messages related to appointment reminders, follow-up messages, and billing inquiries. Standard message and data rates may apply.

Miscellaneous

These Terms of Use shall be construed in accordance with the laws of the State of New York. The waiver of any provision shall not be considered a waiver of any other provision. In the event of a breach, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.
